Terms of Service
Last updated 12 September 2026. These terms cover your use of this website and set out the general basis on which we take on production work. Specific projects are governed by a signed agreement.
Part A — Using this website
1. Acceptance
By using meritanimation.com you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the site.
2. Content and intellectual property
All content on this site — text, design, logos, illustrations, animations, code and case-study material — is owned by Merit Animation Studio or used with permission, and is protected by Indian and international copyright and trademark law. You may view and share links to the site; you may not reproduce, scrape or reuse content for commercial purposes without written permission. Client names and work shown are used with the relevant client's consent.
3. No warranty
The site is provided “as is”. We try to keep information accurate and current but make no guarantee that it is complete or error-free, and we may change or withdraw content at any time. Indicative pricing published on the site or blog is general market guidance, not an offer.
4. Third-party links and embeds
Links to and embeds from third-party sites are provided for convenience. We are not responsible for their content or practices.
Part B — General terms for production services
The following summarises how we work. Each engagement is governed by a written proposal and agreement (“Project Agreement”) which takes precedence over this summary where they differ.
5. Proposals and quotes
Quotes are fixed for the scope described in the Project Agreement and are valid for 30 days. Scope is defined by the approved brief, animatic, style frames and deliverables list. Work outside that scope is quoted separately before it is undertaken.
6. Milestones, approvals and revisions
Projects proceed through milestone approvals (typically brief, script/animatic, style frames, animation, final delivery). Approval at a milestone is confirmation to proceed. Revisions within the approved scope are unlimited at each stage; changes to already-approved milestones — for example a script change after animatic sign-off — are treated as a change of scope and may affect price and schedule, which we will confirm in writing before proceeding.
7. Client responsibilities
Timely delivery depends on timely feedback and materials. The client agrees to provide brand assets, reference material, approvals and consolidated feedback within the review windows in the schedule. Delays in client feedback extend the delivery date correspondingly.
8. Delivery dates
The delivery date in the Project Agreement is contractual, subject to the client meeting its review windows and to no changes in approved scope. If we fail to deliver on the agreed date for reasons within our control, the remedy stated in the Project Agreement applies.
9. Fees and payment
Unless otherwise agreed, a deposit is payable before work begins with the balance due on milestones and on final delivery. Invoices are payable within the period stated on them. Final masters and source files are released on receipt of final payment. Applicable GST is charged in addition to quoted fees.
10. Intellectual property
On receipt of full payment, ownership of the delivered films and of assets created specifically for the project transfers to the client. Merit retains ownership of its pre-existing tools, rigs, templates and know-how, and grants the client a licence to use them as embedded in the deliverables. Third-party elements (licensed music, stock, fonts, voice talent) are subject to their own licence terms, which we document for you. Merit may display the work in its portfolio and marketing unless the Project Agreement provides otherwise.
11. Confidentiality
We keep client information and unreleased work confidential and will sign a mutual NDA on request. The client agrees to keep our proposals and pricing confidential.
12. Cancellation
Either party may terminate a project on written notice. The client pays for work completed to the date of termination, including milestones reached, and any non-cancellable third-party costs incurred.
13. Liability
To the fullest extent permitted by law, Merit's total liability under a Project Agreement is limited to the fees paid for that project, and neither party is liable for indirect or consequential loss. Nothing limits liability for fraud or for anything that cannot lawfully be limited.
14. Governing law
These terms and every Project Agreement are governed by the laws of India. Courts at Kolkata, West Bengal have exclusive jurisdiction, subject to any arbitration clause in the Project Agreement.
